Professional Experience and Expertise

・Jun focuses on asset management, fund-related matters such as alternative investments (e.g., PE/VC, private credit, infrastructure, and real estate private funds, etc.), financial regulation (including the Financial Instruments and Exchange Act (“FIEA”), Banking Act, Insurance Business Act, and pension-related laws), fintech regulation, M&A, and startup investments.
・In the fund-related cases, drawing on experience from a secondment to the “Financial Market Entry Office (“FMEO”) of the Financial Services Agency of Japan (“JFSA”), he advises domestic and international asset managers on fund formation and structuring, ongoing operations, licensing (financial instruments business registration), investment agreement review, and provides legal supports to domestic and international institutional investors in alternative investments (e.g., PE/VC, private credit, infrastructure, and real estate private funds, etc.).
・He also handles a broad range of matters, including M&A, startup investments , joint ventures, business alliances, and regulatory advice under the Companies Act and the FIEA.
・He has extensive experience in dispute resolution, financial transactions, and debt collection cases for financial institutions.
・Leveraging experience from U.S. studies and practice at two different U.S. law firms in Los Angeles and Dallas, he provides comprehensive legal support for Japanese companies expanding overseas, as well as for foreign companies entering the Japanese market.
・Jun is a native Japanese speaker and is proficient in English.

Cases and Matters Handled

・FIBO Licensing for Asset Managers: Jun is familiar with various FIBO licenses, including Type I (including the Specially Permitted Intermediary Services for Unlisted Securities), Type II, Investment Advisory and Agency (IAA), and Investment Management (IM). Being also familiar with the notification for the Specially Permitted Businesses for Qualified Institutional Investors, etc. (Article 63 Exemption under the FIEA).
・Overseas Alternative Investment for Domestic Institutional Investors: provided legal support for institutional investors in connection with overseas alternative investments. Being knowledgeable about underlying asset classes such as private equity/venture capital, private debt, infrastructure, real estate.
・Cross-border M&A: conducted legal due diligence, drafted and negotiated English-language share purchase agreements and shareholders’ agreements, and handled prior notifications under the Foreign Exchange and Foreign Trade Act (FEFTA) and addressed merger control regulations under the Antimonopoly Act.
・Domestic M&A: structured M&A schemes and conducted legal due diligence in industries including telecommunications equipment, textile materials, hotel, apparel, and healthcare, and drafted and negotiated share purchase agreements, merger agreements, and shareholders’ agreements.
・Startup Investments by Overseas Venture Capital into Japanese Companies: conducted legal due diligence and drafted and negotiated English-language investment agreements, subscription agreements for common shares and preferred shares, and shareholders’ agreements.
・Legal Services for Startup Companies: provided outsourced legal support for startup companies (including corporate, labor and employment, intellectual property matters) and supported fundraising.
・Legal Support for Overseas Investors Investing in Japanese Real Estate: provided legal support for overseas investors investing in Japanese real estate, including structuring (such as GK-TK structures), financial regulatory compliance, FEFTA compliance, and drafting and negotiating transaction documents.
・Data Privacy Laws: addressed compliance with data privacy laws (including Japan’s APPI, the EU GDPR, and California’s CCPA/CPRA, etc.), handled data breach notifications to supervisory authorities in European countries, and conducted research and reporting on cross-border personal data transfer regulations in Southeast Asian countries.
・Labor and Employment Disputes: handled wrongful dismissal lawsuits, negotiations and litigation in power harassment and sexual harassment matters, and investigations and reporting as a member of internal investigation committees.
・Licensing Agreements: Drafted and negotiated license agreements for game development and distribution with major U.S. IT companies.
・U.S. Discovery Procedures in Trade Secret Misappropriation Litigation
・Debt collection: represented financial institutions, servicers, guarantee companies, and consumer credit companies in debt collection matters (including preservation, litigation, and enforcement).
・Real Estate-related Disputes: handled lease disputes in mixed-use commercial facilities, damages claims based on non-conformity with contract, and real property eviction actions.
