・Handling of out-of-court workouts, including a scheme of SME turnaround support committee (for clients such as a hot spring inn and a golf course)
・Handling of civil rehabilitation procedures (for electronic and machine parts manufacturers, sellers of semiconductor manufacturing equipment, construction companies, and food processing and sales companies, and others).
・Handling of business transfers in combination with bankruptcy proceedings (for transportation industry companies and auto parts manufacturers and others)

 

Corporate Legal Affairs.
・Developing strategies, conducting due diligence, negotiating and drafting documentation in connection with M&A transactions.
・Advising on corporate governance matters, such as operations of shareholders and board of directors meetings, maintenance of corporate structures and company internal rules.
・Advising on matters relating to the Financial Instruments and Exchange Act, the Antimonopoly Act and other laws and regulations, and guidelines on compliance.
・Advising, negotiating and drafting documentation for syndicated loans and commitment line contracts, stock subscription agreements and other financing arrangements.
・Advising, negotiating and drafting contractual documentation on matters relating to copyrights, trademarks and other intellectual property rights.
・Advising and negotiating concerning collection of overdue trade and other receivables, overdue rents, loans and the like.
・Advising and negotiating concerning changes with respect to wages and other labor conditions, and dismissal procedures.

 

Litigation/ Disputes
・Handling of a claim to vacate a building relating to redevelopment of a rental building.
・Handling of an action relating to securities trading.
・Handling of a lawsuit for damages relating to a large-scale fictitious circulation transaction.
・Handling of an action involving a purchase of shares of stock.
・Handling of a trademark-infringement lawsuit and filing an injunction with respect to importing counterfeit goods from overseas.
・Handling of actions for collection for overdue trade and other receivables, overdue rents, loans and the like.
・Handling of proceedings before a labor tribunal, and a claim for confirmation of a status
・Representing a party in a mediation regarding division of inherited property and various related disputes.
・Handling of an action for damages relating to a traffic accident.
